Shareholder & Partnership Agreements: Having an Agreement from the onset clarifies how the corporation handles disputes. Without this, shareholders & partners would not have guidance on matters such as governance protocols, new shares being issued, rights of first refusal, share sale provisions, how shares are valued, corporate financing and management, issuing dividends, voting  and what will happen in the case of a deadlock.

A common issue we see among founders arises when initial investments cannot be quantified in the same manner. At the start it may seem reasonable that financial investment from one  equates to non financial investments (such as skill, time, knowledge, and connections) from others.  However this view can change as operations progress and revenue is generated.

A strong business plan is dynamic and needs to be revisited as you progress. It can generate funding, prevent problems, help you scale faster, maintain motivation and build stakeholder enthusiasm.

Employment Contracts: Starting and Terminating Relationships

All parties need to know what is expected of them. Ending relationships can be positive if managed properly. However, if left unclarified, issues arise surrounding proprietary interests in clients and work-product, and applicable notice periods.

Employee turnover is costly in terms of time investments to rehire, retrain and loss of client continuity. I will work with you to minimize this.

General Operational Agreements: These agreements serve to protect the interests of all parties involved and ensure legal compliance in various business transactions and interactions. As your business requires, we can prepare these agreements and/or provide comments on agreements you are being asked to sign created by a third-party.     • Non-Disclosure Agreements (NDAs): Contracts ensuring confidentiality of proprietary information exchanged between parties, safeguarding sensitive business information.

Terms of Use/Service: Documents specifying the rules and guidelines for using the website or platform, including disclaimers, intellectual property rights, and user responsibilities.
